1. Introduction and Acceptance of Terms

Welcome to Muhammad Saeed ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Muhammad Saeed platform, including our application programming interfaces (APIs), software development kits (SDKs), mobile applications, developer dashboard, documentation, and all related services (collectively, the "Services").

By creating an account, accessing our Services, or making a purchase through our platform, you ("Customer," "you," or "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not use our Services.

These Terms constitute a legally binding agreement between you and Muhammad Saeed We reserve the right to update these Terms at any time. Material changes will be communicated via email to the address associated with your account and posted on our website at least thirty (30) days before they take effect. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.


2. Description of Services

Muhammad Saeed provides the following categories of services:

2.1 API Infrastructure Services

We provide cloud-hosted API endpoints, including RESTful and GraphQL interfaces, that enable customers to build, deploy, and scale software applications. Our infrastructure includes API gateway management, request routing, data transformation, caching, authentication services, and real-time data streaming capabilities.

2.2 Software Development Kits (SDKs)

We offer official SDKs for multiple programming languages and platforms, including but not limited to JavaScript/TypeScript, Python, Go, Java, Ruby, PHP, Swift, and Kotlin. These SDKs are licensed under the terms specified in the applicable SDK license file distributed with each package.

2.3 Mobile Applications

We develop and distribute mobile applications for iOS and Android platforms that provide developer tools, monitoring dashboards, and client-side functionality related to our API services. Mobile applications are distributed through the Apple App Store, Google Play Store, and directly through our website.

2.4 Developer Dashboard and Analytics

We provide a web-based dashboard for managing API keys, monitoring usage, viewing analytics, configuring services, and managing account and billing settings.


3. Account Registration and Security

3.1 Account Creation

To use our Services, you must create an account by providing accurate and complete registration information, including a valid email address, your full legal name or business name, and any additional information required during the registration process. You agree to keep this information current and accurate at all times.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including passwords and API keys. You agree to notify us immediately at security@msaeed.dev if you become aware of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

3.3 Account Eligibility

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, to create an account and use our Services. By creating an account, you represent and warrant that you meet this eligibility requirement.

3.4 One Account Per Entity

Each individual or legal entity may maintain only one active account unless explicitly authorized by Muhammad Saeed in writing. We reserve the right to suspend or terminate duplicate accounts.


4. Subscription Plans and Billing

4.1 Plan Tiers

Muhammad Saeed offers multiple subscription tiers designed to accommodate varying levels of usage:

  • Starter (Free): Includes a limited allocation of API calls per month, community-based support, a limited number of projects, and basic analytics. The Starter plan is provided at no cost and is subject to the usage limits published on our pricing page.

  • Pro: Includes a higher allocation of API calls per month, priority support with guaranteed response times, unlimited projects, advanced analytics, custom domain support, and team collaboration features. The Pro plan is billed on a recurring monthly or annual basis at the rates published on our pricing page.

  • Enterprise: Includes unlimited API calls, a dedicated support representative, a custom service level agreement (SLA), single sign-on (SSO) and SAML integration, optional on-premise deployment, and custom integrations. Enterprise plans are billed according to a custom agreement negotiated between you and our sales team.

Current pricing details, including exact rates and included allocations for each tier, are published on our pricing page at https://msaeed.dev/pricing and are incorporated into these Terms by reference.

4.2 Billing and Payment Processing

All payments for our Services are processed by our authorized payment partner, Paddle.com Market Limited ("Paddle"), who acts as the Merchant of Record for all transactions. When you make a purchase, you are purchasing from Paddle, who then provides you with access to our Services under a license from Muhammad Saeed.

Paddle handles all billing, payment processing, sales tax, VAT, and other applicable transaction taxes on our behalf. By making a purchase, you also agree to Paddle's Terms of Use (https://www.paddle.com/legal/terms) and Privacy Policy (https://www.paddle.com/legal/privacy).

4.3 Recurring Billing

Subscription plans are billed in advance on a recurring basis according to the billing cycle you select (monthly or annual). Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date. You authorize Paddle to charge the payment method on file for each renewal period.

4.4 Usage Overages

If your API usage exceeds the allocation included in your subscription plan during a billing period, you will be charged for the overage at the per-call rate published on our pricing page. We will notify you via email and dashboard notification when your usage reaches 80% and 100% of your plan allocation.

4.5 Plan Changes

You may upgrade or downgrade your subscription plan at any time through your account dashboard. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of the current billing period. Downgrades take effect at the start of the next billing period.

4.6 Taxes

All prices displayed on our website are exclusive of applicable taxes unless explicitly stated otherwise. Paddle, as the Merchant of Record, will calculate and collect any applicable sales tax, VAT, GST, or other transactional taxes at the point of purchase based on your billing address and applicable tax regulations.


5. Acceptable Use Policy

5.1 Permitted Use

You may use our Services solely for lawful purposes and in accordance with these Terms. You are responsible for all activity that occurs under your account and all content transmitted through our Services using your API keys.

5.2 Prohibited Activities

You agree not to use our Services to:

(a) Violate any applicable local, national, or international law or regulation.

(b) Transmit, store, or process any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

(c) Transmit or facilitate the transmission of unsolicited bulk communications (spam).

(d) Attempt to gain unauthorized access to any part of our Services, other users' accounts, or any computer systems or networks connected to our Services.

(e) Interfere with or disrupt the integrity or performance of our Services or the data contained therein.

(f) Attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of our proprietary software, except to the extent permitted by applicable law.

(g) Use our Services to build a competing product or service, or to benchmark our Services for the purpose of publishing comparative performance data without our prior written consent.

(h) Resell, sublicense, or redistribute access to our Services without explicit written authorization from Muhammad Saeed.

(i) Use our Services to process, store, or transmit any data that is subject to specific regulatory frameworks (such as HIPAA, PCI-DSS, or ITAR) unless you are on an Enterprise plan with a specific compliance addendum signed by both parties.

(j) Use automated tools, bots, or scripts to create accounts, generate API keys, or circumvent rate limits or usage restrictions.

5.3 Rate Limits

We enforce rate limits on API requests to ensure fair usage and maintain service quality for all customers. Rate limits vary by subscription plan and are published in our documentation. Attempting to circumvent rate limits through any technical means is a violation of these Terms and may result in immediate account suspension.

5.4 Enforcement

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these Terms, including without limitation suspending or terminating the offending user's account, reporting the conduct to law enforcement authorities, and pursuing civil remedies.


6. Intellectual Property

6.1 Our Intellectual Property

All right, title, and interest in and to the Services, including all software, APIs, documentation, trademarks, trade names, logos, and other intellectual property, are and shall remain the exclusive property of Muhammad Saeed and its licensors. These Terms do not grant you any right, title, or interest in our intellectual property except for the limited license to use the Services as described herein.

6.2 Your Content and Data

You retain all right, title, and interest in and to the data you transmit through our Services ("Customer Data"). By using our Services, you grant Muhammad Saeed a limited, non-exclusive, worldwide license to process Customer Data solely for the purpose of providing the Services to you. We will not use Customer Data for any other purpose, sell Customer Data to third parties, or use Customer Data for training machine learning models without your explicit consent.

6.3 Feedback

If you provide us with any suggestions, ideas, enhancement requests, or other feedback regarding our Services ("Feedback"), you grant Muhammad Saeed an unrestricted, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such Feedback into our Services without any obligation to you.

6.4 Open Source

Certain components of our SDKs and tools may be released under open-source licenses. The specific open-source licenses applicable to each component are identified in the license files distributed with the respective software packages. In the event of any conflict between an open-source license and these Terms, the open-source license shall govern with respect to that specific component.


7. Service Level and Availability

7.1 Uptime Commitment

We strive to maintain high availability of our Services. For customers on paid plans (Pro and Enterprise), we commit to the uptime percentages specified in our Service Level Agreement (SLA), which is published at https://msaeed.dev/sla and incorporated into these Terms by reference for paid plan subscribers.

7.2 Scheduled Maintenance

We may perform scheduled maintenance on our Services from time to time. We will provide at least forty-eight (48) hours advance notice of any scheduled maintenance that is expected to result in significant service disruption. Scheduled maintenance windows are not counted against our uptime commitment.

7.3 Service Credits

If we fail to meet our uptime commitments for paid plan subscribers, you may be eligible for service credits as described in our SLA. Service credits are your sole and exclusive remedy for any failure to meet our uptime commitments.


8. Data Protection and Privacy

Our collection, use, and protection of personal data is governed by our Privacy Policy, available at https://msaeed.dev/privacy. By using our Services, you acknowledge that you have read and understood our Privacy Policy. For detailed information about how we handle your data, please refer to that document.


9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MUHAMMAD SAEED DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MUHAMMAD SAEED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF MUHAMMAD SAEED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 Cap on Liability

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

9.4 Essential Purpose

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.


10. Indemnification

You agree to indemnify, defend, and hold harmless Muhammad Saeed, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your Customer Data; or (e) your infringement of any third-party intellectual property or other rights.


11. Termination

11.1 Termination by You

You may terminate your account and stop using our Services at any time by canceling your subscription through your account dashboard or by contacting our support team at support@msaeed.dev. Cancellation of a paid subscription will take effect at the end of the current billing period.

11.2 Termination by Us

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe that: (a) you have violated these Terms; (b) your use of the Services poses a security risk to us or any third party; (c) your use of the Services may subject us to legal liability; or (d) your account has been inactive for an extended period. For paid subscribers, we will make reasonable efforts to provide advance notice and an opportunity to cure the violation before termination, except in cases of egregious violations.

11.3 Effect of Termination

Upon termination: (a) your right to access and use the Services will immediately cease; (b) we will delete your Customer Data within thirty (30) days unless we are required by law to retain it; (c) any outstanding fees owed by you will become immediately due and payable; (d) provisions of these Terms that by their nature should survive termination (including intellectual property, indemnification, limitation of liability, and dispute resolution) will survive.

11.4 Data Export

Prior to termination, you may export your Customer Data using the tools available in your account dashboard or through our API. We recommend exporting your data before initiating account termination.


12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

12.2 Informal Resolution

Before filing any formal dispute, you agree to first contact us at legal@msaeed.dev and attempt to resolve the dispute informally for a period of at least thirty (30) days.

12.3 Arbitration

If the dispute cannot be resolved informally, both parties agree that any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English and the seat of arbitration shall be Wilmington, Delaware. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

12.4 Class Action Waiver

YOU AND MUHAMMAD SAEED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12.5 Exception

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.


13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and any applicable order forms or service level agreements, constitute the entire agreement between you and Muhammad Saeed regarding the Services and supersede all prior or contemporaneous agreements, understandings, or communications.

13.2 Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be enforced to the maximum extent permissible, and the other provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, power failures, internet disturbances, or third-party service provider failures.

13.6 Notices

We may provide notices to you via email to the address associated with your account, through your account dashboard, or by posting on our website. You may provide notices to us by emailing legal@msaeed.dev.
